Terms of Service.

1.1These Terms of Use ("Terms") govern access to and use of the platform, technology, and related services (collectively, the "Services") provided by Revenue Brothers, Inc., a Delaware C-Corporation ("RevBros," "we," "us," or "our"). The Services include yield management, wrapper and header bidding technology, auction execution, ad serving integration, and related monetization tooling for digital publishers.

1.2These Terms apply to any account holder on the RevBros platform, including web and app publishers, and — subject to the conditions in Section 2 — agencies and resellers acting on behalf of inventory owners. The party accepting these Terms is referred to as the "Publisher," and any digital property submitted to the Services (whether a website, mobile application, or other digital surface) is referred to as a "Property."

1.3By creating an account, submitting a Property, or otherwise using the Services, the Publisher accepts these Terms and forms a binding agreement with RevBros. No countersigned contract or signature is required for these Terms to take effect; on Publisher's request, RevBros may issue a separate executed agreement, but the absence of one does not affect the enforceability of these Terms.

1.4The following capitalized terms have the meanings set out below; other capitalized terms are defined where they first appear:

• Account:the Publisher's registered account on the RevBros platform.
• Demand Partner:any third-party advertising exchange, supply-side platform, demand-side platform, ad network, or direct advertiser whose demand is made available through the Services.
• IVT:invalid traffic as defined by prevailing industry standards, including general invalid traffic ("GIVT") and sophisticated invalid traffic ("SIVT").
• Net Revenue:gross revenue received by RevBros from Demand Partners attributable to ads served through Publisher's Properties, less the pass-throughs and adjustments described in Section 8.
• Statement:the final monthly accounting issued by RevBros reflecting Net Revenue and Publisher's revenue share for the relevant calendar month.
• Tags:the JavaScript tags, SDKs, and any related code or modules made available by RevBros for integration into Properties.

2.1Account registration is open to individuals and entities with legal capacity to enter into binding contracts under applicable law. Publishers must provide accurate, complete, and current registration information — including ownership, tax, and payment details — and must promptly notify RevBros of any material change. RevBros may require updated information or supporting documentation at any time, and may suspend or close an Account pending receipt or based on the contents of such information.

2.2Properties are submitted through the platform and reviewed manually by RevBros before activation. Approval is at RevBros' sole discretion and may be granted, denied, conditioned, or revoked at any time. Approval of one Property does not extend to any other Property submitted by the same Publisher, and previously approved Properties remain subject to ongoing review for compliance with these Terms.

2.3Where a Publisher acts as an agency, reseller, affiliate, or other intermediary onboarding inventory it does not own and operate, explicit prior approval from RevBros is required before any such inventory may be activated. The Publisher represents that it has the necessary rights and authorizations from each underlying inventory owner, and remains responsible for the compliance of that inventory with these Terms in the same manner as for owned-and-operated Properties.

2.4The Services are available globally, except in jurisdictions, regions, or to persons subject to sanctions administered by the U.S. Office of Foreign Assets Control ("OFAC") or other applicable U.S. trade restrictions. RevBros does not discriminate on any basis other than legal eligibility. Regardless of the Publisher's location, the relationship between RevBros and the Publisher is administered exclusively under U.S. law as further specified in Section 13.

3.1The Services are a proprietary technological wrapper and yield optimization platform designed to monetize digital advertising inventory on Properties. RevBros acts as an intermediary between Publishers and Demand Partners, providing auction execution, wrapper integration, ad request handling, reporting through the platform interface, and related operational support. The specific scope and configuration of the Services made available to a given Publisher may vary based on the Publisher's setup, integration, and the Properties approved under Section 2, and may include support for display, video, interstitial, rewarded, and other ad formats as RevBros chooses to offer them.

3.2Auctions are conducted using a combination of RevBros' proprietary auction technology and outsourced infrastructure, including Google Ad Manager. Where third-party ad servers or auction infrastructure are used, RevBros develops and maintains the Tags, SDKs, and integration logic surrounding such systems; the underlying systems are operated by their respective providers, and their behavior is not within RevBros' control. All inventory is monetized programmatically, and RevBros does not operate as a guaranteed-deal or insertion-order-based seller.

3.3Demand is sourced primarily from third-party Demand Partners. From time to time, RevBros may also make direct advertiser demand available through the Services. The composition of available Demand Partners may change at any time as RevBros adds, removes, or modifies its integrations.

3.4Final ad selection (including but not limited to advertiser selection, creative serving, and final billed prices) is determined by the relevant auction logic and is controlled by the Demand Partners and ad servers involved, not by RevBros. Where a creative is reported by Publisher as unsuitable, malfunctioning, or otherwise problematic, RevBros will work to resolve the matter manually with the relevant Demand Partner upon receipt of a sufficiently specific report. RevBros does not pre-screen creatives and cannot guarantee that any particular advertiser, category, or creative will or will not appear.

3.5RevBros may modify, add, suspend, or discontinue features, integrations, demand sources, and other aspects of the Services at any time. Material changes affecting Publisher's setup will be communicated where reasonably practicable, but the absence of advance notice does not entitle the Publisher to compensation or to opt out of such changes while continuing to use the Services.

3.6RevBros makes no representations, warranties, or guarantees regarding revenue, fill rate, eCPM, viewability, latency, or any other performance metric. Any forecasts, projections, or historical comparisons RevBros provides are rational educated estimates based on available data, offered for planning purposes only, and do not constitute commitments. Performance depends on factors outside RevBros' control, including Demand Partner behavior, market conditions, and the Publisher's own implementation and traffic profile.

4.1The visible ad area on any Property must not exceed the visible content area, measured in pixels. Ad placements must be separated by sufficient content; back-to-back ad placements without intervening content are not permitted. Layouts must not be deceptive, must not be designed to induce accidental clicks, and must not obscure or interfere with the underlying content of the Property in a manner that degrades the user experience.

4.2Where auto-refresh is used, no ad slot may refresh more frequently than once per twenty-five (25) seconds of continuous viewability, measured by industry-standard viewability criteria. Refreshes triggered while an ad is not in view do not count toward this interval, and refreshes that occur in non-viewable conditions are prohibited regardless of how the underlying timer is configured.

4.3Properties and ad implementations must comply with the IAB's prevailing best practices for ad delivery, layout, and quality, and with Google's ad serving policies as published from time to time, regardless of whether Google demand is being served on the relevant Property.

4.4The Publisher must not configure or operate any Property in a manner that exposes, or could reasonably be expected to expose, RevBros to enforcement action, regulatory liability, civil claims, or sanctions — whether arising from content, technical implementation, traffic sourcing, distribution method, or any combination thereof. This obligation is independent of, and additional to, the standards referenced in 4.3.

4.5RevBros may, on notice, require the Publisher to correct any implementation that does not meet the standards in this Section 4. Pending remediation, RevBros may pause monetization on the affected Property or suspend the affected slots without any obligation of compensation for the period during which the non-compliance persists. Repeated or unresolved non-compliance is grounds for termination under Section 12.

5.1Properties may carry advertising for any content category that is brand-safe under prevailing industry norms. Categories generally accepted include news, lifestyle, entertainment, technology, tools, finance, investments, travel, science, business, sports, and comparable mainstream verticals. The Publisher does not require pre-clearance to operate within such categories. Category mix may affect the demand RevBros is able to source. RevBros explicitly excludes the monetization of adult (not-safe-for-work) content, as defined by Google policies.

5.2RevBros' content standards align with the boundaries of expression protected by the First Amendment to the U.S. Constitution. Content that would be lawful under the First Amendment will not, on those grounds alone, render a Property ineligible for the Services. This includes editorial, political, ideological, religious, cultural, and otherwise controversial viewpoints, and content that some Demand Partners or third parties may characterize negatively. RevBros will not, on its own initiative, suspend, demonetize, or terminate a Property solely on the basis of viewpoint, the perceived truth or falsity of lawful content, political or reputational pressure directed at RevBros or the Publisher, or third-party disagreement with otherwise lawful content. The Publisher should nonetheless expect that individual Demand Partners may independently decline to bid on such inventory, which RevBros does not control.

5.3The following traffic acquisition methods are permitted: organic and search-driven traffic; paid traffic acquisition (including search and social); arbitrage; and traffic referred from social platforms. Use of any such method is conditioned on (i) the resulting traffic not being classified as IVT under Section 6, (ii) the acquisition method not violating the policies of the source platform or applicable law, and (iii) the activity not triggering enforcement action by Demand Partners or third-party verification providers. Where a particular method or source consistently produces problematic outcomes under any of these conditions, RevBros may require the Publisher to discontinue it.

5.4Certain categories — including but not limited to gambling, regulated pharmaceuticals, firearms, and other sensitive or regulated verticals — may be entirely out of scope, restricted to specific Demand Partners, or available only with prior written clearance from RevBros. The Publisher must disclose the presence of any such content on a Property at submission and must not introduce such content to a previously approved Property without notifying RevBros.

5.5RevBros may restrict, demonetize, or remove categories of content or specific Properties from the Services where Demand Partners apply category-level enforcement, where third-party verification flags Properties as unsuitable for advertising, or where continued participation would jeopardize RevBros' relationships with its supply chain. Such actions are operational and do not, by themselves, constitute a breach by either party.

6.1The Publisher must not generate, source, or knowingly permit invalid traffic on Properties served through the Services. IVT, GIVT, and SIVT, as defined by prevailing industry standards, non-human traffic of any kind, traffic produced through activity that violates U.S. law, and any other practice generally regarded as fraudulent, manipulative, or non-compliant by the digital advertising industry, are forbidden.

6.2The Publisher is responsible for the quality of all traffic on its Properties, including traffic acquired from third parties. The Publisher must take reasonable measures to monitor traffic sources, identify abnormal patterns, and discontinue any source or method that produces invalid traffic. Absence of intent to generate invalid traffic does not, by itself, excuse the Publisher's responsibility for traffic that occurs on its Properties.

6.3RevBros may, at any time, request information regarding the Publisher's traffic sources, acquisition methods, technical configurations, and supporting evidence — including analytics records, ad tag logs, or agreements with traffic vendors. RevBros may also engage third-party verification providers to assess the validity of traffic on any Property. The Publisher will cooperate with such inquiries in good faith and provide responsive information within a reasonable timeframe.

6.4Whether traffic is invalid is determined by RevBros' own analysis, by Demand Partner findings, by third-party verification provider conclusions, or by a combination of the foregoing. A finding does not require proof of intent. Where invalid traffic is identified, RevBros may withhold or adjust payments under Section 9, suspend or pause Property access, require remediation as a condition of reinstatement, or, in cases of material or repeated occurrences, terminate the Services under Section 12.

7.1Subject to the Publisher's compliance with these Terms, RevBros grants the Publisher a limited, non-exclusive, non-transferable, non-sublicensable, revocable, royalty-free license to install, integrate, and use the Tags solely on approved Properties and solely for the purpose of receiving the Services. The license is extended for the mutual benefit of the parties and does not reach beyond what is necessary to operate the Services. The Publisher must not modify, decompile, reverse-engineer, obfuscate, redistribute, sublicense, or incorporate the Tags into any third-party product or service offered as a standalone capability, and must not use the Tags on Properties that have not been approved under Section 2 or that are not in compliance with these Terms. RevBros may revoke the license at any time, with or without cause, by notice or by withdrawal of access to the underlying Services.

7.2RevBros may from time to time update, deprecate, or phase out specific Tags, SDK versions, or integration methods. Such changes may cause older Tags to function with reduced performance, to be deprioritized in auction routing, or to stop functioning entirely. RevBros will provide reasonable notice of material deprecations where practicable, but the Publisher is not contractually obligated to update its Tags on demand. The Publisher nonetheless accepts that continued participation at full functionality depends on running current Tags, and RevBros bears no liability for revenue loss, fill rate degradation, or service interruption attributable to the Publisher's use of phased-out or outdated Tags.

7.3All right, title, and interest in and to the Tags, SDKs, the RevBros platform, and any underlying technology, software, methods, documentation, trademarks, and know-how associated with the Services are and remain the exclusive property of RevBros and its licensors. No license or right is granted to the Publisher except as expressly set out in 7.1, and no rights arise by implication, estoppel, or otherwise. The Publisher's own content, properties, trademarks, and data remain the Publisher's, and nothing in these Terms transfers or assigns ownership of such material to RevBros. The Publisher must not use the RevBros name, logos, or marks publicly without prior written consent, except for factual identification of RevBros as a service provider.

8.1"Net Revenue"means gross revenue received by RevBros from Demand Partners attributable to ads served through the Publisher's Properties, less only the following: (i) pass-through ad serving expenses billed by upstream providers (including Google Ad Manager and analogous platforms), charged at cost without markup; (ii) invalid traffic adjustments, refunds, or chargebacks asserted by Demand Partners against the relevant inventory, allocated proportionately to the revenue share; and (iii) any amounts that RevBros does not receive from the relevant Demand Partner, regardless of cause. RevBros does not impose its own platform, technology, account, or service fees, and does not deduct margin beyond the revenue share.

8.2The revenue share between RevBros and the Publisher is agreed between the parties and is not fixed or locked for any particular period. RevBros' current default revenue share, applied to new Publisher accounts unless otherwise agreed at onboarding, is 80% of Net Revenue to the Publisher and 20% to RevBros. The applicable share is open to renegotiation at any time, by either party, including in response to changes in supply-side economics, demand availability, or the cost structure of serving a particular Property. Any revised share takes effect prospectively upon mutual agreement (including via email or platform communication) and applies from the agreed effective date forward; the most recently agreed share remains in effect until then.

8.3RevBros issues a final monthly Statement for each calendar month, reflecting Net Revenue, the applicable revenue share, any adjustments, and the resulting amount due to the Publisher. The Statement governs the accounting for that month; preliminary or in-month figures shown in the platform interface are estimates and do not bind RevBros for payment purposes. All amounts in the Statement are denominated and computed in U.S. dollars (USD), regardless of the currency in which payment is ultimately made.

8.4Subject to the threshold conditions in 8.5, payment of the amount due under each Statement is made on a NET30 basis from the date the Statement is issued. RevBros may delay payment under the circumstances described in Section 9, but is not otherwise entitled to extend the schedule unilaterally.

8.5Payment is made by the method elected by the Publisher in its Account, subject to the following minimum payout thresholds: $50 for stablecoin payments, $100 for local bank transfers in the United States, United Kingdom, SEPA area, and other jurisdictions as made available by RevBros and its banking partners, and $500 for international SWIFT transfers. Where the amount due in a given month is below the applicable threshold, the balance carries forward and is paid in the first month in which the cumulative amount meets or exceeds the threshold. Payments may be made in USD, EUR, USDC, USDT, or other cryptocurrencies where agreed in advance with RevBros; conversion from the USD-denominated Statement amount is performed at a market rate prevailing at or near the time of payment, and the Publisher bears the risk of any rate movement between Statement issuance and payment execution.

8.6RevBros does not charge, collect, withhold, or remit any taxes on payments made to the Publisher, and does not verify the Publisher's tax residency, status, or registration. The Publisher is solely responsible for determining its own tax obligations and for reporting and remitting any income, withholding, consumption, or other taxes applicable to amounts received under these Terms. RevBros does not accept or charge consumption taxes — including value-added tax, goods-and-services tax, or state or local sales taxes — on the Services, and does not provide tax advice of any kind. Any tax advice the Publisher requires must be obtained from a qualified independent advisor.

9.1Payment of amounts otherwise due to the Publisher is subject to RevBros' right to reserve, adjust, or recoup amounts as described in this Section 9. A reserve operates as a temporary hold on payment of an amount otherwise due; an adjustment operates as a downward revision of a previously issued Statement or as an offset against subsequent Statements. Both mechanisms exist to prevent the Publisher from being paid amounts that RevBros has not received, will not receive, or has received but is required to refund or reclaim.

9.2RevBros may place a reserve on all or part of an amount otherwise payable where (i) a Demand Partner, exchange, supply-side platform, or other upstream party has reported irregularities, opened an investigation, or signaled potential non-payment in respect of the relevant inventory; (ii) RevBros' own analyses or third-party verification under Section 6 indicate abnormal levels of invalid traffic, brand-safety issues, or sourcing concerns; or (iii) the Publisher has failed to provide information requested under Section 6.3 within a reasonable timeframe. Reserves remain in place only until the underlying matter is resolved, at which point they are released to the Publisher, applied as an adjustment, or, where the matter cannot be resolved, retained in accordance with these Terms.

9.3RevBros may apply an adjustment against current or future Statements where, after a Statement has been issued, (i) a Demand Partner asserts an invalid traffic deduction, refund, or chargeback against the inventory reflected in that Statement; (ii) a Demand Partner remits less than the amount on which the Statement was based, or fails to remit at all; or (iii) RevBros' own analysis, or that of a third-party verification provider, identifies invalid traffic that was not detected at the time of the original Statement. Adjustments are calculated proportionately to the revenue share, consistent with Section 8.1.

9.4RevBros will notify the Publisher of any reserve or adjustment, identify the underlying basis to a reasonable level of detail, and respond in good faith to questions or requests for clarification. The Publisher may dispute a reserve or adjustment within fifteen (15) days of notification by raising the matter in writing with supporting documentation; thereafter, the reserve or adjustment becomes final unless RevBros agrees otherwise. Where the underlying matter involves a third party (such as a Demand Partner's chargeback decision), RevBros will use commercially reasonable efforts to advance the Publisher's position, but is not obligated to litigate, arbitrate, or otherwise pursue a third party on the Publisher's behalf.

9.5RevBros operates as an intermediary between the Publisher and Demand Partners. RevBros' obligation to pay any amount under these Terms is limited to amounts actually received by RevBros from the relevant Demand Partner in respect of the Publisher's inventory, net of the deductions defined in Section 8.1. RevBros is under no obligation to advance funds, extend credit, or pay amounts that have not been collected, regardless of the cause of non-collection.

10.1In delivering the Services, RevBros processes operational and technical data — including ad request and response logs, performance and yield metrics, billing-related data, and identifiers required to route auctions and report on inventory performance. RevBros uses such data for the operation, optimization, security, analytics, troubleshooting, and improvement of the Services, and retains it for these purposes for as long as is reasonably necessary. RevBros does not use, sell, license, or otherwise commercialize this data for advertising-related purposes — including audience building, profiling, retargeting, or the training of advertising-targeting models — and does not transfer it to any party for those purposes.

10.2Demand Partners and other third parties involved in serving ads through the Services typically operate their own data collection and processing infrastructure, independently of RevBros. Such parties may collect data from end users of the Properties (including via cookies, device identifiers, SDK signals, and similar mechanisms) and may use that data for purposes including retargeting, audience profiling, frequency capping, measurement, and other advertising-related activities. RevBros does not control how Demand Partners or other ecosystem participants collect or use such data, and the Publisher acknowledges that the presence of advertising on the Properties necessarily entails this independent activity.

10.3The Publisher is solely responsible for compliance with all privacy and data-protection laws applicable to the Properties and to the Publisher's relationship with end users, including any requirements relating to notice, consent, opt-out, and the operation of a consent management platform ("CMP"). RevBros does not collect end-user privacy signals beyond what is needed to operate the Services, and does not audit or verify the Publisher's privacy practices. RevBros makes a CMP available to the Publisher at no cost as part of the Services; the Publisher may use this CMP, may use a third-party CMP, or — where lawful for its operations — may operate without one. The choice and configuration of any CMP are the Publisher's responsibility, and the availability of RevBros' CMP does not transfer responsibility for the Publisher's privacy compliance to RevBros.

11.1The Services are provided "as is" and "as available." To the maximum extent permitted by applicable law, RevBros disclaims all representations, warranties, and conditions of any kind, whether express, implied, statutory, or otherwise — including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted operation, security, and that the Services will meet the Publisher's requirements. Without limiting the foregoing, RevBros makes no warranty regarding revenue, fill rate, eCPM, latency, viewability, or any other operational or commercial outcome, and any forecasts or projections are estimates as described in Section 3.6.

11.2Demand Partners and other ecosystem participants involved in serving advertising through the Services act independently of RevBros and are not RevBros' agents, employees, partners, or representatives. Their conduct, technical performance, payment behavior, and policies are not within RevBros' control, and RevBros does not warrant or guarantee their actions or omissions. The Publisher's recourse with respect to any Demand Partner's conduct lies with that Demand Partner, subject to any commercially reasonable assistance RevBros provides under Section 9.4.

11.3RevBros does not pre-screen, edit, or approve creatives served by Demand Partners through the Services and does not warrant the accuracy, legality, decency, or suitability of any advertisement appearing on the Publisher's Properties. RevBros disclaims all liability for the content of advertisements served by third parties, including any claims that such advertisements are misleading, defamatory, infringing, regulated, or otherwise objectionable. The operational process for resolving reports of unsuitable creatives is set out in Section 3.4 and does not, of itself, constitute an admission of liability or warranty by RevBros as to any creative.

11.4To the maximum extent permitted by applicable law, neither party will be liable to the other for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or in connection with these Terms, even if advised of the possibility of such damages. RevBros' aggregate liability to the Publisher arising out of or in connection with these Terms, whether in contract, tort, statute, or otherwise, is limited to the total amount paid by RevBros to the Publisher in the three (3) months immediately preceding the event giving rise to the claim. Nothing in this Section excludes or limits liability that cannot be excluded or limited under applicable law.

12.1These Terms take effect upon the Publisher's acceptance under Section 1.3 and continue in force until terminated by either party in accordance with this Section 12. The relationship has no fixed term, and either party may terminate at any time, with or without cause, by giving notice through reasonable means (including email or platform message); termination takes effect immediately upon notice unless a later effective date is specified. RevBros may also terminate immediately, and without prior notice, in cases of material breach of these Terms, repeated or unresolved non-compliance under Sections 4, 5, or 6, fraud, sanctions or legal-risk exposure, or any other circumstance that materially threatens RevBros' interests or its supply chain. Suspension under Sections 4.5, 5.5, 6.4, or 9.2 remains available as a lesser remedy and may be applied in lieu of, or as a precursor to, termination.

12.2Upon termination, the license granted under Section 7.1 ceases automatically and the Publisher must remove all Tags from its Properties and discontinue use of the Services. RevBros will pay the Publisher any amounts then due under prior Statements on the regular NET30 schedule, subject to the reserve and adjustment rights in Section 9, which survive termination for as long as is necessary to resolve outstanding matters. Where amounts otherwise due have become encumbered or otherwise restricted as a consequence of invalid traffic findings, demand-side policy violations, or similar matters affecting RevBros' ability to collect or retain the underlying funds, payment may be delayed until the matter is resolved or, where the encumbrance proves permanent, reduced or eliminated in accordance with Section 9. Any amount accrued but not yet appearing on a Statement at the time of termination will be reflected on the next Statement issued for the relevant calendar month and paid on the same basis. Provisions of these Terms that by their nature should survive termination — including Sections 7.3, 9, 10, 11, 13, and 14 — survive termination.

13.1These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13.2Any dispute, claim, or controversy arising out of or in connection with these Terms — including their formation, performance, breach, interpretation, validity, or termination — will be finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules then in effect. The arbitration will be conducted before a single arbitrator, seated in Wilmington, Delaware, and conducted in English. The arbitrator's award is final and binding, may be entered in any court of competent jurisdiction, and is not subject to appeal except as permitted under the Federal Arbitration Act. The arbitration proceedings, the existence of the arbitration, and the arbitrator's award are confidential, except to the extent disclosure is necessary to enforce the award or as required by applicable law.

13.3The following matters are not subject to the arbitration requirement in 13.2: (i) actions to enforce, protect, or determine the validity of intellectual property rights of either party (including those granted under or relating to Section 7); (ii) applications for injunctive or other equitable relief, including to restrain unauthorized use of the Tags or breach of confidentiality obligations; and (iii) claims that may properly be brought in a small-claims court of competent jurisdiction, at the election of the claimant. Matters falling within these exceptions are subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

13.4All disputes must be brought solely on an individual basis. The Publisher and RevBros each waive any right to participate in a class, collective, consolidated, or representative action, and the arbitrator (or court) has no authority to consolidate claims or preside over any form of representative or class proceeding. To the extent any matter proceeds in court rather than arbitration, the Publisher and RevBros each irrevocably waive any right to a trial by jury. Any claim arising out of or in connection with these Terms must be brought within one (1) year after the claimant first becomes aware, or with reasonable diligence should have become aware, of the facts giving rise to the claim; failing which, the claim is permanently barred.

14.1RevBros may amend these Terms from time to time by posting the updated Terms and, for material changes, providing reasonable notice via email or platform message. Continued use of the Services after the effective date of the updated Terms constitutes acceptance of those updates; if the Publisher does not accept an amendment, the sole remedy is to terminate under Section 12. Negotiated commercial terms — including the revenue share under Section 8.2 — are not unilaterally amendable under this Section.

14.2Notices to RevBros must be sent by email to the address designated by RevBros for legal or operational communications, or through the platform's support interface where available. Notices to the Publisher are deemed given when sent to the email address or contact details associated with the Publisher's Account, or when posted within the platform with reasonable visibility. The Publisher is responsible for keeping its contact details current under Section 2.1.

14.3These Terms, together with any documents expressly incorporated by reference and any separately executed agreement issued under Section 1.3, constitute the entire agreement between the parties with respect to the Services and supersede all prior or contemporaneous understandings, communications, and agreements, written or oral, on the subject matter. In the event of conflict between these Terms and a separately executed agreement, the separately executed agreement controls to the extent of the conflict.

14.4If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or, if not possible, severed; the remaining provisions continue in full force and effect. No failure or delay by either party in exercising any right under these Terms operates as a waiver of that right, and no single or partial exercise precludes any further exercise.

14.5The Publisher may not assign, transfer, or delegate any of its rights or obligations under these Terms without RevBros' prior written consent, and any purported assignment in violation of this provision is void. RevBros may assign these Terms in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets, without the Publisher's consent.

14.6Neither party is liable for any failure or delay in performance under these Terms (other than payment obligations) caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications failures, third-party service outages, or pandemics. The affected party must use reasonable efforts to mitigate the impact of the event and resume performance as soon as reasonably practicable.

14.7The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship, and neither party has authority to bind the other. These Terms do not confer any rights or remedies on any person other than the parties, and there are no third-party beneficiaries.
